Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Prufold Labs, Inc., a Delaware corporation ("Prufold Labs," "we," "us," or "our"), governing your access to and use of the Prufold Labs platform, including our website at prufoldlabs.ai and app.prufoldlabs.ai (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Eligibility: You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years old.

2. Description of Service

Prufold Labs provides a secure AI agent execution platform that allows users to submit tasks to AI models running in Trusted Execution Environments (TEEs) with cryptographic verification. The Service includes:

• AI agent task submission and execution
• Cryptographic proofs of correct execution (Zero-Knowledge proofs)
• TEE attestation and verification
• Task result storage and retrieval
• Usage tracking and billing

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Security

To use the Service, you must create an account by authenticating with Google OAuth. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

You may not share your account credentials, transfer your account to another person, or use another person's account without permission.

4. Pricing and Payment

4.1 Pay-As-You-Go Pricing

The Service operates on a pay-as-you-go model based on token usage:

• Input tokens: $8.00 per million tokens
• Output tokens: $20.00 per million tokens
• All prices are in United States Dollars (USD)

4.2 Credit System

You must maintain a positive credit balance to submit tasks. New users receive $10 in free credits. You may purchase additional credits through our payment processor (Stripe) in minimum increments of $10.

4.3 No Refunds

All credit purchases are final and non-refundable. Credits do not expire but are non-transferable. We may, at our sole discretion, issue refunds or credits for service interruptions or errors on our part.

4.4 Billing and Charges

Credits are deducted from your account upon task completion based on actual token usage. You are responsible for monitoring your credit balance. Tasks submitted with insufficient credits may be rejected or cancelled.

4.5 Price Changes

We reserve the right to modify our pricing at any time. Price changes will not affect credits already purchased, but will apply to future credit purchases and task executions.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Generate spam, phishing content, or fraudulent materials
• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation
• Scrape, crawl, or harvest data from the Service without permission
• Use the Service to compete with Prufold Labs or build similar products
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Resell or redistribute the Service without written permission

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy.

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of all content you submit to the Service ("Your Content"), including prompts, inputs, and any files or data you provide. By submitting Your Content, you grant us a limited, non-exclusive, royalty-free license to process, store, and display Your Content solely to provide the Service to you.

6.2 AI-Generated Content

You own the output generated by the AI models in response to your prompts, subject to your compliance with these Terms. However, AI-generated content may not be unique, and similar or identical content may be generated for other users. We make no representations or warranties regarding AI-generated content.

6.3 Our Intellectual Property

The Service, including all software, algorithms, cryptographic proofs, attestations, documentation, designs, and trademarks, is owned by Prufold Labs and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except as necessary to use the Service.

6.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

7. Data Retention and Deletion

We retain your data as follows:

• Task results and prompts: 90 days from task completion
• Cryptographic proofs and attestations: 1 year from generation
• Account information: Until you request account deletion
• Transaction records: 7 years for tax and compliance purposes

You may request deletion of your account and associated data at any time through your account settings or by contacting us at info@prufoldlabs.ai. We will process deletion requests in accordance with applicable law.

8. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available." We may perform scheduled maintenance with reasonable notice.

Support is provided via email at info@prufoldlabs.ai. We aim to respond within 2 business days but do not guarantee response times.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES REGARDING ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE SERVICE OR AI-GENERATED CONTENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE RESULTS OBTAINED FROM USE OF THE SERVICE

While we implement cryptographic verification and TEE security measures, no system is completely secure. You use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRUFOLD LABS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR YOUR DATA
• DAMAGES RESULTING FROM ERRORS, MISTAKES, OR INACCURACIES IN AI-GENERATED CONTENT
• DAMAGES RESULTING FROM INTERRUPTION OR CESSATION OF THE SERVICE

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Prufold Labs, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content or any content you submit, post, or transmit through the Service

12. Termination

You may terminate your account at any time by contacting us at info@prufoldlabs.ai. Upon termination, you will lose access to the Service and any remaining credits (which are non-refundable).

We may suspend or terminate your account immediately, without prior notice, if:

• You breach these Terms
• We are required to do so by law
• Your use of the Service creates risk or legal liability
• We cease offering the Service

Sections that by their nature should survive termination (including intellectual property provisions, disclaimers, limitations of liability, and indemnification) will survive termination of these Terms.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

14.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Prufold Labs individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Prufold Labs regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
